Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Toran Safety website and, where applicable, our community security service and pilot program (together, the “Service”), provided by Toran Safety, Inc. (“Toran,” “we,” or “us”). By using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Toran provides AI-assisted, video-based security for residential communities, including camera deployment and our LIRA verification software. Toran is a verification and alerting layer; it is not a guard service, an alarm-monitoring central station, or an emergency-response provider, and it does not guarantee the prevention or detection of any particular event.
2. Pilots
Pilot programs are offered to selected communities, typically for about 30 days, at no upfront cost and with no long-term commitment. Specific scope, success metrics, equipment, and any data terms for a pilot are set out in a separate written agreement with the community. If those terms conflict with these Terms, the written pilot agreement controls.
3. Eligibility & accounts
You must be authorized to act for your community, organization, or yourself to use the Service. You are responsible for keeping your login credentials confidential and for activity under your account. Notify us promptly of any unauthorized use.
4. Privacy & recording
Our handling of information is described in our Privacy Notice. Communities are responsible for posting any legally required notice that an area is under video surveillance, and for any consents required to enable optional features such as audio, including California’s all-party consent requirements for recording confidential communications.
5. Acceptable use
You agree not to misuse the Service. You will not, and will not allow others to: use the Service unlawfully or to harass, stalk, or harm others; access areas or data you are not authorized to access; interfere with or disrupt the Service; or reverse engineer, copy, resell, or create derivative works from the Service except as permitted by law.
6. Intellectual property
The Service, including the LIRA software, the website, and all related content, logos, and materials, is owned by Toran or its licensors and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose. No other rights are granted.
7. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL DETECT OR PREVENT ANY PARTICULAR INCIDENT.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TORAN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM (WHICH, DURING A FREE PILOT, MAY BE ZERO).
9. Indemnification
You agree to indemnify and hold harmless Toran and its officers, employees, and agents from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
10. Termination
You may stop using the Service at any time. We may suspend or end access to the Service, in whole or in part, where reasonably necessary — for example, for security, legal, or operational reasons. Provisions that by their nature should survive termination will survive.
11. Governing law & disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in California, unless a separate written agreement provides otherwise.
12. Changes
We may update these Terms from time to time. The most current version will always be posted here with the “Last updated” date above. Continued use of the Service after changes take effect means you accept the updated Terms.
